These Terms of Service ("Terms") govern your access to and use of OmniToolsPro (the "Service"), operated by OmniToolsPro LLC ("we", "us"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility & Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You're responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

2. The Service

OmniToolsPro lets you create, configure, and deploy AI-powered chatbots, including uploading knowledge base content and embedding assistants on your own website(s). Features available to you depend on your subscription plan.

3. Subscriptions & Billing

Subscriptions are billed in advance on a recurring basis (e.g. monthly) via our payment processor, Stripe.
Subscriptions automatically renew until cancelled. You can cancel at any time from your account's Billing page; access continues until the end of the current billing period.
We may change our pricing with reasonable advance notice. Continued use after a price change constitutes acceptance of the new pricing.

4. Acceptable Use

You agree not to use the Service to:

Violate any applicable law or regulation
Upload or generate content that is unlawful, defamatory, infringing, or harmful
Attempt to gain unauthorized access to the Service or other users' data
Use the Service to spam, harass, or deceive end users interacting with your chatbots
Reverse-engineer, resell, or white-label the Service without our written permission

We reserve the right to suspend or terminate accounts that violate this section.

5. Your Content

You retain ownership of the content you upload (knowledge base documents, prompts, branding). You grant us a limited license to store, process, and transmit that content solely to operate the Service on your behalf — including sending relevant portions to third-party AI providers (e.g. OpenAI) to generate chatbot responses.

You represent that you have the necessary rights to upload your content and that it doesn't infringe on any third party's rights.

6. Third-Party AI Provider

Chatbot responses are generated using a third-party large language model provider configured with your own API key (or a workspace default). We are not responsible for the accuracy, appropriateness, or output of any AI-generated content, and you should review outputs before relying on them for decisions affecting your end users.

7. Service Availability

We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. We may perform maintenance, and features may change over time.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNITOOLSPRO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms.

11. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you materially violate these Terms.

12. Governing Law

These Terms are governed by the laws of [Your State/Country], without regard to its conflict-of-law principles.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes constitutes acceptance.
